Candidate Ownership and Submission Terms

1. Ownership and Confidentiality

All candidate submissions—including but not limited to resumes, profiles, interview notes, references, and related communications—provided by Lions and Bears Staffing Partners Inc. (LBSP) via email, phone, digital platforms, or any other communication method—are considered confidential and proprietary information.

These materials are intended solely for internal evaluation by the intended recipient and may not be copied, shared, forwarded, or disclosed to any third party without prior written authorization from LBSP.

 

2. Exclusive Representation & Non-Circumvention

By receiving, reviewing, or opening any candidate submission provided by LBSP, the recipient and its organization acknowledge and agree that:

  • LBSP is the sole and exclusive representative of the candidate(s).

  • The recipient shall not contact, engage, hire, or refer the candidate(s) to any other individual or entity without prior written consent from LBSP.

  • These obligations apply regardless of prior knowledge of the candidate or any existing relationships.

This agreement extends to the recipient organization and all of its affiliates, subsidiaries, employees, contractors, and representatives.

 

3. Protection Period

LBSP’s rights to candidate representation and ownership remain enforceable for a period of twelve (12) months from the date of initial submission. This protection applies whether the candidate is hired directly, indirectly, or through a third party, with or without an interview.

 

4. Fee Liability for Breach

In the event of a breach of these terms—including, but not limited to, unauthorized contact, hiring, or referral of a submitted candidate—LBSP reserves the right to invoice for the full placement fee.

Placement fees will be based on the industry-standard range of 18% to 22% of the candidate’s first-year total annualized compensation, including base salary and any guaranteed bonuses.

If the candidate’s annualized salary or bonus information is not disclosed or made available to LBSP, a flat placement fee of $25,000 shall apply.

LBSP may also pursue legal remedies, including recovery of damages, attorney’s fees, interest, and any collection costs incurred.

 

5. Governing Law

These terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict-of-law principles. Any dispute shall be resolved exclusively in a court of competent jurisdiction within the State of Wyoming.
